Terms of Service
Effective date: [to be set at launch]
These terms are an agreement between IT Support 101 Inc. ("we", "us"), of 91 King Street East, Suite 135, Bowmanville, Ontario L1C 5E2, Canada, and the organisation that signs up for My Company Whiteboard (the "Customer", "you"). If you sign up on behalf of a business, you confirm you have authority to accept these terms for it.
1. The service
My Company Whiteboard is an online whiteboard. Your organisation's members can draw, write, add files and chat on shared boards, and you can invite guests from outside your organisation to individual boards. We provide it over the internet; there's nothing to install.
We may improve and change the service over time. If we remove a feature you pay for, we'll tell you in advance.
2. Accounts and your organisation
- Each person uses their own account and keeps their password and authenticator to themselves.
- Your organisation's owners decide who is a member, who is an admin, which guests are invited, and what they can do. You're responsible for what happens under your organisation's accounts.
- Tell us straight away at privacy@itsupport101.com if you think someone has got into an account without permission.
- You must give accurate sign-up and billing information and keep it up to date.
3. Your content
Everything you and your people put on boards (drawings, notes, text, files and chat) is "Customer Content". You own it. You give us permission to store, copy, process and display it only as needed to provide the service to you, keep it secure and backed up, and meet our legal obligations.
You're responsible for having the right to use whatever you put on a board, and for what your members and guests do with it.
We don't use your content for advertising, and we don't sell it. Our staff only look at your boards when your organisation's owner has given us access to help you, or when the law requires it.
4. Acceptable use
You agree not to use the service to:
- break the law, or infringe anyone's intellectual property or privacy;
- upload malware, or anything meant to harm the service or other people;
- try to get into accounts, organisations or data that aren't yours, or test the service's security without our written permission;
- send spam, or harass, threaten or exploit anyone;
- overload the service or get around its limits.
We may remove content or suspend access that breaks these rules, as described in section 8.
5. Plans, trials and payment
- Plans, prices and limits are shown on our pricing page and on your organisation's Billing page. Customers in Canada are charged in Canadian dollars and everyone else in US dollars. Applicable sales taxes are added.
- A free trial is available once per organisation. A payment card is required to start it. Unless you cancel before it ends, your subscription starts and your card is charged at the end of the trial.
- Subscriptions renew automatically, monthly or yearly, until cancelled. You can cancel at any time from the Billing page; your plan stays active until the end of the period you've paid for.
- Changing plan takes effect as shown at the time of the change. Stripe may charge or credit the difference for the rest of the period.
- Payments are processed by Stripe. We don't receive or store your full card number.
- Fees are not refundable, except where required by law or where we say otherwise in writing.
- If a payment fails, we'll tell your organisation's owners and Stripe will retry. If it still isn't paid, your boards become view-only until the subscription is paid or renewed.
- We may change prices with at least 30 days' notice. The new price applies from your next renewal after the notice.
6. Plan limits
Each plan has limits on members, guests, active boards and file storage. When you reach a limit, nothing is removed: you just can't add more until you make room or change plan.
7. Keeping and deleting content
- We don't delete boards because they haven't been used. Boards stay until someone with permission deletes them or the organisation's account is closed.
- If your subscription ends, your boards stay viewable but can't be changed. We may delete your organisation's content 90 days after its subscription ends, after emailing its owners at least 14 days before we do.
- When you delete something, or we delete it under these terms, it's removed from the service straight away and from our backups as they're replaced, within about 12 months.
- You can ask us for a copy of your organisation's content at any time while your account exists.
8. Suspension and termination
We may pause your organisation's access, or close it, if you seriously or repeatedly break these terms, don't pay, or if we must do so by law or to protect the service or other customers. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.
You can stop using the service and close your organisation at any time. Sections 3, 7, 9, 10, 11 and 13 continue after the agreement ends.
9. Confidentiality and security
We treat your Customer Content as confidential. We protect it with reasonable technical and organisational measures, described on our security page. If we become aware of a breach of security affecting your content, we'll tell you without undue delay and do what we reasonably can to limit the harm.
Our handling of personal information is described in our privacy policy. If you need it, our data processing agreement forms part of these terms.
10. Warranties
We'll provide the service with reasonable skill and care. Apart from that, and to the extent the law allows, the service is provided "as is", without any other promises, including about being uninterrupted or error-free, or fit for a particular purpose. We don't guarantee any particular level of availability. Keep your own copies of anything you can't afford to lose.
11. Limitation of liability
To the extent the law allows:
- neither of us is liable to the other for indirect or consequential losses, or for lost profits, revenue, goodwill or data, however caused;
- each party's total liability under or in connection with these terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
These limits don't apply to your obligation to pay fees, to either party's liability for fraud, or to anything else that can't be limited by law.
12. Indemnity
You'll defend and compensate us against claims by third parties arising from your Customer Content or from your organisation's use of the service in breach of these terms.
13. General
- Changes to these terms. We may update these terms. We'll give at least 30 days' notice of changes that matter, by email to your organisation's owners or in the service. Continuing to use the service after that means you accept the change.
- Governing law. These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction.
- Notices. We'll send notices to the email address of your organisation's owners. Send notices to us at privacy@itsupport101.com or by mail to 91 King Street East, Suite 135, Bowmanville, Ontario L1C 5E2, Canada.
- Entire agreement. These terms, the privacy policy and, where it applies, the data processing agreement, are the whole agreement between us about the service.
- Other. If part of these terms can't be enforced, the rest still applies. Not enforcing a right isn't a waiver of it. You may not transfer this agreement without our consent; we may transfer it to a successor of our business. Neither of us is responsible for delays caused by events beyond reasonable control.
